1. Introduction

Welcome to SOLO ("Platform", "we", "us", or "our"). SOLO is operated by SOLO Software Private Limited, a company incorporated in Singapore (UEN: 202607912K).

By accessing or using the SOLO platform at solo.sg or any associated mobile applications, you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.

2. Nature of the Platform

SOLO is a technology platform that provides tools for property owners to list their HDB, condo, landed, and commercial properties for sale or for rent, for CEA-licensed property agents to create and manage listings on behalf of their seller or landlord clients, and for potential buyers and tenants to discover, evaluate, and book viewings of those properties.

SOLO does not owe any fiduciary, agency, advisory, or brokerage duties to any user.

SOLO IS NOT A LICENSED ESTATE AGENT under the Estate Agents Act 2010 (Cap. 95A) of Singapore. We do not perform estate agency work as defined under the Act. Specifically:

(a) We do not act for, or introduce parties on behalf of, any buyer, seller, landlord, tenant, or agent, and we do not receive any commission or introduction fee. The Platform publishes property listings that are openly visible to all users. Search results, ranking, saved-search alerts, and personalised listing recommendations are produced automatically by software based on the criteria and behaviour of the user viewing them. They are automated discovery features, not an introduction, recommendation, or endorsement by SOLO of any party or property, and they do not constitute estate agency work.

(b) We do not negotiate the terms of any property transaction on behalf of any user.

(c) We do not represent, act for, or advise any user in relation to the acquisition or disposition of any property.

(d) We do not submit any documents or applications to the Housing and Development Board ("HDB"), Urban Redevelopment Authority ("URA"), or any government agency on behalf of any user.

(e) We do not provide legal, financial, tax, or valuation advice. Any market data, pricing information, or educational content on the Platform is for general reference only and does not constitute professional advice.

All property transactions conducted through connections made on the Platform are direct transactions between the relevant buyer and seller, or between the seller's appointed CEA-licensed agent and the buyer. Users are solely responsible for conducting their own due diligence, negotiations, and official submissions.

3. Eligibility

To use the Platform, you must:

(a) Be at least 21 years of age;

(b) Be a Singapore Citizen, Singapore Permanent Resident, or otherwise eligible to purchase, sell, or list property under prevailing Singapore laws and regulations. CEA-licensed property agents must hold a valid estate agent's licence or be registered as a salesperson under the Estate Agents Act 2010 and its subsidiary legislation;

(c) Provide accurate and truthful information during registration and verification;

(d) Not be prohibited by any law or regulation from entering into property transactions.

4. Account Registration and Verification

4.1 You may register an account using your email address. Authentication is handled via one-time passcode (OTP) sent to your email or via Singpass login.

4.2 Identity verification via Singpass is required before you may list a property for sale or for rent, or book a viewing. This verification confirms your identity but does not constitute any endorsement, warranty, or guarantee by SOLO regarding any user's financial standing, creditworthiness, intentions, or suitability as a buyer, seller, landlord, or tenant.

4.3 You are responsible for maintaining the security of your account and for keeping any authentication links or one-time passcodes confidential. Authentication links sent to your email are single-use and time-limited. You must notify us immediately of any unauthorised use of your account at support@solo.sg. SOLO is not liable for any loss arising from your failure to keep authentication credentials secure.

4.4 SOLO does not store your Singpass credentials. Identity data retrieved from MyInfo (via Singpass) is processed solely for the purposes of identity verification and reasonable ownership cross-referencing as disclosed to you at the point of retrieval, in accordance with our Privacy Policy, the Personal Data Protection Act 2012, and our obligations under the Singpass API Services Agreement with Government Technology Agency. This data is not used for any secondary purpose.

5. Property Listings

5.1 Property owners, landlords, and their appointed CEA-licensed agents may create sale or rental listings on the Platform. By creating a listing, you represent and warrant that:

(a) You are the registered owner of the property, or a duly authorised co-owner with the consent of all other co-owners, or a CEA-licensed agent who has confirmed the owner's consent by one of the methods set out in Clause 11.3 and who holds the estate agency agreement required by the Estate Agents Act 2010 and its subsidiary legislation;

(b) For a sale listing, the property is either: (i) an HDB resale flat that is eligible for resale under prevailing HDB rules including the Minimum Occupation Period; or (ii) a private residential or commercial property including condominium units that is eligible for sale under prevailing Singapore property laws. For a rental listing, the property is eligible to be rented out under prevailing HDB, URA, and Immigration and Checkpoints Authority rules, including where applicable the Minimum Occupation Period for renting out a whole flat, HDB's approval requirements, the non-citizen quota for renting out flats and bedrooms, and minimum tenancy periods;

(c) All information provided in the listing including but not limited to the address, property type, floor area, asking price or monthly rent, photographs, and descriptions is accurate and not misleading;

(d) You are solely responsible for ensuring that your use of the Platform does not breach any contractual obligations owed to third parties, including any estate agency agreements or any existing tenancy;

(e) You have the legal capacity and authority to sell, rent out, or list the property.

5.2 SOLO reserves the right to review, reject, suspend, or remove any listing at its sole discretion, including but not limited to listings that contain inaccurate information, violate these Terms, or are flagged by our verification processes.

5.3 AI-generated property descriptions are provided as a convenience. You are responsible for reviewing and verifying the accuracy of any AI-generated content before your listing is published. SOLO does not warrant the accuracy of AI-generated content. By publishing a listing, you confirm that all content including any AI-generated descriptions is accurate, not misleading, and compliant with all applicable laws and regulations including CEA advertising guidelines where applicable.

5.4 SOLO does not verify the physical condition of any listed property, the accuracy of photographs, or any claims made by sellers beyond identity verification via Singpass and reasonable cross-referencing with publicly available property data. This process is a reasonable verification measure only and is not a substitute for official title or ownership verification.

5.5 SOLO may automatically update certain listing metadata including timestamps, visibility rankings, and refresh indicators as part of normal platform operation. You remain solely responsible for the accuracy and currency of all listing content at all times.

5.6 By creating a listing on the Platform, you grant SOLO a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute your listing content including photographs for the purpose of operating the Platform, promoting your listing, and marketing SOLO's services through any channel including but not limited to social media platforms, paid advertisements, and third-party distribution channels. This licence does not transfer ownership of your content. Promotion through any channel does not guarantee any particular result including enquiries, viewings, or a sale. You remain solely responsible for ensuring that all content you upload does not infringe any third-party intellectual property rights. If your listing is withdrawn or sold, SOLO will make reasonable efforts to discontinue active promotion but is not liable for content that remains accessible through third-party caching or distribution channels.

5.7 SOLO's administrators may access, review, moderate, correct, unpublish, or remove any listing for platform integrity, verification, regulatory compliance, abuse investigation, or error correction purposes, and may prepare draft listings inside an agent's account where that agent has enabled SOLO Jumpstart under Clause 11A. SOLO may also publish internal demonstration or test content, which is clearly for platform testing and does not represent a property that is genuinely available. All administrative actions are recorded in an internal audit log. Administrative access does not make SOLO the owner or publisher of any user listing, nor a party to any transaction.

6. Viewing Bookings

6.1 Buyers may book property viewings through the Platform. A viewing booking is a scheduling arrangement between the buyer and the seller or their appointed agent. SOLO facilitates the scheduling process but is not a party to and bears no responsibility for the viewing itself.

6.2 Users acknowledge that viewings occur at private residences. Both buyers and sellers or their agents are responsible for their own safety and conduct during viewings. SOLO has no physical presence at any viewing and no ability to monitor, supervise, or intervene in any viewing or any event occurring during or in connection with a viewing. SOLO is not liable for any incident, loss, injury, theft, assault, property damage, or harm of any nature occurring during or in connection with a viewing arranged through the Platform.

6.3 SOLO does not guarantee that a viewing booking will result in any property transaction.

6.4 By booking a viewing, you acknowledge that: (a) you will be visiting a private residence; (b) you are solely responsible for your own personal safety during the viewing; (c) SOLO does not verify the physical condition, accessibility, or safety of any listed property; (d) you should inform a trusted person of your viewing location and scheduled time.

6.5 By listing a property and accepting viewing bookings, you acknowledge that: (a) you will receive visitors at your private residence; (b) you are responsible for providing accurate property information including the correct unit address; (c) you should take reasonable precautions for your own safety and the security of your belongings; (d) SOLO is not responsible for the conduct, actions, or omissions of any buyer who attends a viewing.

6.6 The unit number and floor of a listed property is revealed to confirmed buyers automatically at a time configured by the seller or their appointed agent. This timed reveal is a privacy convenience feature only. Sellers and agents remain solely responsible for ensuring that buyers attending viewings receive all information necessary for safe and successful access to the property.

7. Off-Platform Activity

7.1 SOLO facilitates initial connections between buyers, sellers, and agents through the Platform. Once parties communicate or transact outside the Platform including through WhatsApp, telephone, email, or in-person meetings, SOLO has no visibility into, control over, or responsibility for any such communications, agreements, representations, payments, or conduct.

7.2 SOLO is not liable for any fraud, misrepresentation, financial loss, personal harm, or dispute arising from communications or transactions that take place outside the Platform. This includes but is not limited to money transfers made outside the Platform, verbal or written agreements made outside the Platform, identity fraud or impersonation conducted outside the Platform, and any other off-platform activity.

7.3 Users are strongly advised to conduct all property-related communications and agreements through the Platform and through their appointed solicitors. SOLO records all on-platform communications as part of the transaction audit trail. Off-platform activity is not recorded and cannot be verified or relied upon by SOLO in any dispute.

7.4 Any contact details including phone numbers shared through the Platform are provided by users and verified only to the extent described in these Terms. SOLO is not responsible for the accuracy or currency of any contact details provided by users. If a WhatsApp message, email, or other notification is sent to a number or address provided by a user that turns out to be incorrect or belonging to a third party, SOLO is not liable for any resulting disclosure or harm. Users are solely responsible for providing accurate contact details.

8. Verification and Fraud Disclaimer

8.1 The "verified" badge and verification status displayed on the Platform indicates that SOLO has: (a) confirmed the user's identity through Singpass MyInfo at the time of onboarding; and (b) performed reasonable cross-referencing of the listed property against publicly available records. Verification is performed at a point in time and does not constitute a continuing guarantee of any user's identity, intentions, financial standing, or the legitimacy of any transaction.

8.2 Verification does not mean that: (a) the property is free from encumbrances, caveats, or legal claims; (b) the seller has genuine intention to complete a sale; (c) any document submitted to SOLO including Intent to Sell documents, ownership proofs, or CEA licence cards is authentic or has not been forged or altered; (d) any agent is currently in good standing with CEA; or (e) the transaction is safe to proceed without independent due diligence.

8.3 SOLO reviews documents submitted by sellers and agents as a reasonable platform integrity measure. This review is visual and administrative in nature. SOLO is not a licensed document verification authority and cannot guarantee the authenticity of any document. If a forged, altered, or fraudulent document passes SOLO's review process, SOLO is not liable for any resulting loss or harm. Users who suspect document fraud should report it to the relevant authorities including the Singapore Police Force and the Council for Estate Agencies.

8.4 For agent listings, agents without completed Singpass MyInfo verification will not display a verified badge on their profile or listings. Even where an agent displays a verified badge, this represents SOLO's verification at the time of onboarding only. Ongoing licence validity and professional conduct are solely the agent's responsibility. SOLO does not continuously monitor CEA licence status. If an agent's licence is subsequently revoked or suspended, SOLO is not liable for any transactions or listings that occurred prior to SOLO becoming aware of the revocation.

9. Transaction Process

9.1 If a buyer and seller agree to proceed with a transaction after connecting through the Platform, the transaction is conducted entirely between those parties, or between the buyer and the seller's appointed agent acting within the scope of their estate agency agreement. SOLO is not a party to any Option to Purchase, Sale and Purchase Agreement, or any other contractual arrangement between buyers, sellers, or agents.

9.2 Users are strongly advised to engage qualified legal professionals (conveyancing solicitors) to handle the legal aspects of their property transaction.

9.3 All official submissions, applications, and payments relating to the property resale process must be made directly by the relevant parties through the appropriate official channels. For HDB transactions, this means the HDB Resale Portal at hdb.gov.sg. For private residential property transactions, this means through appointed conveyancing solicitors and relevant official channels. SOLO does not submit any documents, applications, or official forms on behalf of any user.

9.4 SOLO does not hold, handle, or process any transaction monies, option fees, deposits, or sale proceeds. All financial transactions must be conducted directly between the parties or through their appointed solicitors.

9.5 The Platform provides a Transaction Timeline Dashboard as a convenience tool to help buyers, sellers, and agents track the progress of a property resale transaction after the Option to Purchase has been issued. The Transaction Timeline: (a) displays estimated milestone deadlines based on publicly available HDB guidelines for HDB transactions and general conveyancing practice timelines for private property transactions, using the OTP issue date provided by the parties; (b) sends automated email and WhatsApp reminders prior to and following estimated milestone deadlines; (c) allows either party to send a manual reminder to the other party, limited to once every 12 hours per milestone; (d) provides general informational materials sourced from publicly available resources at each milestone stage; (e) records all milestone completions and system events in a shared activity log visible to all authorised participants within the same transaction workflow. The Transaction Timeline is an informational and organisational tool only. It does not constitute legal advice, does not create any binding obligations beyond those agreed between the parties, and does not replace official portals or the advice of qualified legal professionals. SOLO does not guarantee the accuracy of estimated deadlines. Users remain solely responsible for meeting all official deadlines and requirements applicable to their transaction.

9.6 SOLO's administrators may, for platform integrity review, abuse investigation, or error correction purposes, review transaction milestone data and, where reasonably necessary, override milestone statuses. All such administrative actions are recorded in an internal audit log. Administrative access does not constitute SOLO acting as an intermediary, agent, or arbiter in any transaction.

9A. Rental Listings and Tenancies

9A.1 The Platform supports rental listings for HDB flats, HDB bedrooms, condominium units, landed homes, and commercial premises. Everything in these Terms that applies to sellers, buyers, and property transactions applies equally to landlords, prospective tenants, and tenancy arrangements, unless stated otherwise.

9A.2 Landlords and their appointed CEA-licensed agents are solely responsible for compliance with all rules applicable to renting out a property, including the HDB Minimum Occupation Period for renting out a whole flat, HDB registration or approval requirements, the non-citizen quota for renting out flats and bedrooms, occupancy caps, minimum tenancy periods, URA rules for private residential property, and verification of every occupant's immigration status and right to reside in Singapore. SOLO does not assess, verify, or approve rental eligibility for any landlord, property, or tenant.

9A.3 SOLO is not a party to any tenancy agreement, letter of intent, or rental arrangement. SOLO does not prepare, review, or hold any tenancy document, and does not hold, handle, or process any rent, security deposit, good-faith deposit, or other monies. All such arrangements are made directly between the landlord and tenant or through their appointed agents or solicitors.

9A.4 Rent figures, deposit terms, availability dates, furnishing, and tenant preferences displayed on the Platform are supplied by the landlord or their agent. SOLO does not verify them. Any tenant preference expressed in a listing must comply with applicable law and with CEA guidelines where an agent is involved, and is the sole responsibility of the party who published it.

9A.5 SOLO does not provide tenancy, immigration, tax, or legal advice. Parties are advised to obtain independent advice before signing any tenancy agreement.

10. Contra Transactions

10.1 SOLO provides educational content about Contra transactions, including the HDB Enhanced Contra Facility (ECF) and the HDB Contra Payment Facility, for general informational purposes only. This content is based on publicly available information from HDB and does not constitute financial, legal, or conveyancing advice.

10.2 SOLO does not assess your eligibility for ECF or any HDB facility, process ECF applications, coordinate completion dates between transactions, or act as an intermediary in any Contra transaction.

10.3 By proceeding as a Contra seller on SOLO, you acknowledge that: (a) signing an Option to Purchase creates a legally binding commitment regardless of whether your related transaction completes; (b) all financial and legal arrangements relating to your Contra transaction are solely your responsibility; and (c) you have been advised to consult HDB directly and seek independent legal and financial advice before signing any Option to Purchase.

10.4 SOLO is not liable for any delays, failed transactions, financial losses, or legal consequences arising from Contra transactions facilitated through the Platform.

10.5 Information about Contra transactions provided on the Platform is based on publicly available HDB information but may not reflect the most current HDB policies. Always verify current policies directly with HDB at hdb.gov.sg before making any transaction decisions.

11. CEA Agent Listings

11.1 CEA-licensed property agents who use the Platform to create listings on behalf of seller clients acknowledge and agree that:

(a) They hold a valid estate agent's licence or are registered as a salesperson under the Estate Agents Act 2010 and its subsidiary legislation at the time of listing creation and throughout the listing period;

(b) They operate under a valid written estate agency agreement with their employing estate agent firm as required by the Estate Agents (Estate Agency Work) Regulations 2010;

(c) They maintain professional indemnity insurance as required under the Estate Agents (Estate Agency Work) Regulations 2010. SOLO does not independently verify the adequacy, validity, or continuing existence of any such insurance. Agents are solely responsible for ensuring their professional indemnity insurance meets applicable regulatory requirements throughout their use of the Platform;

(d) They have obtained the seller client's informed written consent before creating a listing on the Platform on the client's behalf, either by using SOLO's digital owner consent process, or by directly declaring on the Platform that such written consent has already been obtained;

(e) They do not hold, handle, or process any transaction monies, option fees, or deposits through the Platform;

(f) They remain solely responsible for compliance with all CEA regulations, codes of practice, and professional obligations including CEA advertising guidelines in relation to any listing or transaction conducted through the Platform;

(g) All listing content they create complies with applicable CEA advertising guidelines. SOLO does not review listings for compliance with CEA advertising requirements. Agents are solely responsible for ensuring their listings comply with all applicable regulations.

11.2 SOLO does not supervise, regulate, or assume any responsibility for the professional conduct of CEA-licensed agents using the Platform. Any complaint regarding an agent's professional conduct should be directed to the Council for Estate Agencies at cea.gov.sg.

11.3 Agents may confirm owner consent in one of two ways: (i) through SOLO's digital owner consent process, where SOLO sends a request directly to the owner and the listing is not published until the owner responds; or (ii) by declaring directly on the Platform, at the time of listing creation, that the agent has already obtained the owner's written consent through means outside the Platform. Neither method replaces or constitutes a formal estate agency agreement between the agent and the seller, which must be executed separately as a prescribed estate agency agreement in accordance with CEA requirements under the Estate Agents (Estate Agency Work) Regulations 2010.

11.3A Where an agent selects the declaration option under Clause 11.3(ii), SOLO does not contact the property owner and does not independently verify that written consent was genuinely obtained. SOLO relies entirely on the agent's declaration, which is recorded together with the date, time, and the exact wording the agent agreed to at the time. Any misrepresentation in such a declaration is solely the responsibility of the declaring agent. SOLO is not liable for any loss, dispute, or claim arising from a listing created under a declaration that is later found to be false or inaccurate, where SOLO acted in good faith in accepting the declaration. SOLO reserves the right to immediately remove any listing, and to suspend or terminate the agent's account, where a declaration is found or reasonably suspected to be false.

11.4 SOLO verifies the CEA registration number provided by agents against publicly available CEA data at the time of agent onboarding. This verification is a reasonable due diligence measure only. SOLO does not continuously monitor CEA licence status and is not responsible for verifying the ongoing validity of any agent's licence during the listing period. Agents are solely responsible for ensuring their CEA registration remains valid throughout their use of the Platform.

11A. SOLO Jumpstart

11A.1 SOLO Jumpstart is an optional convenience service for CEA-licensed agents. Where an agent enables it, the SOLO team may prepare unpublished draft listings inside that agent's own account so the agent does not have to start from a blank form. Jumpstart is off unless the agent enables it, either at registration or in Settings, and the agent may switch it off at any time in Settings. Each opt-in and opt-out is recorded with the date, time, and the exact wording the agent agreed to.

11A.2 Enabling Jumpstart does not create any obligation on SOLO. SOLO does not undertake to prepare any draft, any particular number of drafts, any particular property, within any timeframe, or to any standard of completeness or accuracy. Jumpstart is provided at SOLO's sole discretion and may be declined, limited, paused, changed, or withdrawn at any time, for any agent or for all agents, without notice and without liability. Nothing about Jumpstart makes SOLO responsible for creating, maintaining, updating, or publishing any agent's listings.

11A.3 Jumpstart drafts are prepared from information the agent supplies to SOLO and from factual property information that is publicly available, such as address, block and street, project name, tenure, floor area, and government transaction data. SOLO does not copy listing descriptions, photographs, videos, floor plans, or other creative content from third-party property portals or other publishers into a Jumpstart draft. Where an agent supplies photographs, floor plans, descriptions, or other material for use in a draft, the agent represents and warrants that they own or are licensed to use that material and that its use on the Platform infringes no third-party right.

11A.4 A Jumpstart draft is never published by SOLO. It remains a private draft, is not visible to buyers or tenants, and does not enter SOLO's verification queue unless and until the agent submits it. The agent must review every field, correct or complete anything that is inaccurate, incomplete, or out of date, confirm owner consent in accordance with Clause 11.3, set their own viewing availability, and submit the listing themselves. The agent may edit or discard any draft entirely.

11A.5 On submitting a Jumpstart draft, the agent adopts all of its content as their own listing content. All representations, warranties, and obligations in Clauses 5 and 11 then apply in full, including accuracy, owner consent, CEA advertising compliance, and content rights. SOLO gives no warranty as to the accuracy, completeness, currency, or regulatory compliance of any draft it prepares, and the agent is solely responsible for the listing once submitted.

11A.6 The agent indemnifies SOLO in accordance with Clause 22 against any claim arising from a Jumpstart listing the agent has submitted, including any claim relating to owner consent, content accuracy, or intellectual property in material the agent supplied.

11A.7 Jumpstart is provided at no charge. SOLO does not act for the agent's client, does not perform estate agency work through Jumpstart, and preparing a draft does not make SOLO a party to any listing, agency agreement, or transaction.

11A.8 If you believe that content in any listing on the Platform infringes your rights, please contact legal@solo.sg using the process in Clause 19A.

11B. Public Agent Profiles and Directory

11B.1 Agents who complete onboarding are listed in SOLO's public agent directory. Their name or chosen display name, profile photo, CEA registration number, estate agent firm, professional details they choose to publish, and their live listings are publicly visible, may be viewed by users who are not signed in, and may be indexed by search engines and other third parties.

11B.2 An agent's mobile number and email address are not published publicly. Contact options are made available to users in accordance with the Platform's contact and sign-in rules in force from time to time.

11B.3 Agents may adjust their published profile details in Settings. Once content has been indexed or cached by a third party, SOLO cannot control or remove that third-party copy.

12. Agent-Added Third Party Contact Data

12.1 CEA-licensed agents may input contact details of their buyer and seller clients into the Platform for the sole purpose of sending automated transaction milestone reminders via WhatsApp and email. These third parties have not directly registered on SOLO and have not directly consented to SOLO's Terms of Service.

12.2 By entering third party contact details into the Platform, the agent represents and warrants that: (a) they have obtained the necessary consent from their clients to share their contact details with SOLO for the purpose of sending transaction reminders; (b) their clients have been informed that they may receive automated reminder communications from SOLO; and (c) they have the authority to provide such contact details under applicable data protection laws including the PDPA.

12.3 SOLO will use third party contact data entered by agents solely for the purpose of sending the specific transaction milestone reminders configured by the agent. This data will not be used for marketing, profiling, or any other purpose.

12.4 Third parties whose contact details have been entered by an agent may contact SOLO at privacy@solo.sg to: (a) request access to data SOLO holds about them; (b) request correction of inaccurate data; (c) withdraw from receiving further reminder communications. SOLO will action such requests within 30 days.

12.5 Agents are solely responsible for the accuracy of third party contact details they provide. SOLO is not liable for any reminder communications sent to incorrect contact details provided by agents, or for any disclosure of information to unintended recipients arising from agent error.

12.6 SOLO retains third party contact data entered by agents only for the duration of the active transaction period plus 12 months, after which it is deleted.

13. Third Party Services, AI Features, and Force Majeure

13.1 The Platform integrates third-party services including Google Gemini API for AI-powered features, Twilio for WhatsApp notifications, Supabase for database and authentication services, Singpass MyInfo for identity verification, Resend for email delivery, and PostHog for analytics. SOLO is not responsible for any failure, outage, degradation, or interruption of these third-party services and shall not be liable for any loss or damage arising from the unavailability of any third-party service.

13.2 AI-powered features on the Platform include but are not limited to: property description generation, listing photo analysis and room-by-room commentary, chat reply suggestions, market insights commentary, and location summaries. These features are powered by Google Gemini API and are provided as conveniences only. SOLO does not warrant the accuracy, completeness, currency, or fitness for purpose of any AI-generated output. AI-generated content may omit material property information or generate statements that are inaccurate, incomplete, or non-compliant with applicable advertising regulations. Users must review all AI-generated content before publishing or relying on it. In the event that AI features are unavailable due to a third-party service outage or other cause, SOLO will not be liable for any resulting inconvenience or loss.

13.3 AI-generated content must not be relied upon as professional property, legal, financial, or valuation advice. Users who act on AI-generated content do so entirely at their own risk. SOLO expressly disclaims all liability for any loss or damage arising from reliance on AI-generated content, including but not limited to pricing decisions, eligibility assessments, or transaction decisions made based on AI outputs.

13.4 The availability of AI-powered features may vary and is subject to usage limits, model updates, and availability conditions imposed by Google and other third-party AI service providers. SOLO reserves the right to modify, limit, or discontinue any AI-powered feature at any time without notice.

13.5 SOLO shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond SOLO's reasonable control including but not limited to acts of God, natural disasters, pandemic, government action, regulatory direction, internet infrastructure failure, power outage, third-party service provider outages, or any other event beyond SOLO's reasonable control. SOLO will make reasonable efforts to restore service as soon as practicable in such circumstances.

14. Mortgage Calculator

14.1 The Platform provides a mortgage and affordability calculator tool for general reference purposes. All figures produced by the calculator including downpayment estimates, monthly instalment projections, CPF usage estimates, and stamp duty calculations are estimates only based on user-inputted values and standard assumptions.

14.2 Calculator outputs do not constitute financial advice, mortgage advice, or a commitment by any lender. Actual loan eligibility, interest rates, CPF withdrawal limits, and applicable stamp duties are determined by the relevant financial institution, HDB, CPF Board, or IRAS and may differ significantly from calculator estimates. Users must not rely solely on calculator outputs when making any financial or purchasing decision. SOLO is not liable for any financial loss arising from reliance on calculator estimates.

15. Co-Owner Consent

15.1 For jointly-owned properties, the listing seller or their appointed agent must provide the email addresses of all co-owners during the onboarding process. Co-owners will receive a digital consent request at the email address provided.

15.2 Listings for jointly-owned properties will not be published until all co-owners have provided their consent through the Platform.

15.3 SOLO verifies that consent was provided from the email address supplied by the seller or agent. SOLO cannot independently verify that the email address provided actually belongs to the intended co-owner, that the co-owner's email account has not been compromised, or that the person who responded to the consent request is the actual co-owner. Any fraud, misrepresentation, or error in the co-owner consent process arising from incorrect or fraudulent email addresses provided by the seller or agent is solely the responsibility of the party who provided such information. SOLO is not liable for any loss arising from co-owner consent obtained through fraudulent means where SOLO acted in good faith on the information provided.

16. HFE Letter Status

16.1 The Platform displays Housing and Finance Eligibility (HFE) letter status for registered buyers where available. This status is recorded by SOLO based on information provided by the buyer at the time of onboarding and is updated periodically by SOLO's automated systems.

16.2 HFE status displayed on the Platform is indicative only. HDB is the sole authority on HFE validity. SOLO does not guarantee the accuracy or currency of HFE status information displayed on the Platform. Sellers, agents, and buyers should verify HFE status directly with HDB before proceeding with any transaction.

17. User Data and Privacy of Other Users

17.1 In using the Platform, you may receive personal data about other users including names and communication records. The Option to Purchase walkthrough on the Platform is educational only. It does not contain any other user's identity details, nothing you enter into it is stored by SOLO, and nothing is shared with the other party. You agree to: (a) use such data only for the purpose of the relevant property transaction; (b) not share, reproduce, publish, or distribute such data to any third party; (c) not use such data to harass, threaten, stalk, or harm any person; (d) delete such data when it is no longer needed for the transaction.

17.2 Any screenshots, recordings, or copies made of other users' personal data displayed on the Platform must be treated with the same confidentiality obligations set out in this section. Misuse of other users' personal data may constitute a breach of the PDPA and may be reported to the Personal Data Protection Commission.

17A. Notifications and Automated Messages

17A.1 By creating an account you agree to receive service and transactional messages from SOLO by email, WhatsApp, and in-platform notifications. These include one-time passcodes, viewing booking and cancellation notices, message alerts, listing status and verification updates, transaction milestone reminders, and other operational notices. These messages are necessary to operate the Platform and cannot be switched off while your account is active, other than by closing your account.

17A.2 Marketing and promotional messages are sent only where you have given separate consent, and you may withdraw that consent at any time in Settings or by replying STOP to a WhatsApp message, without affecting service messages.

17A.3 Some notifications contain a sign-in link that logs you into your account. Treat those links as confidential and do not forward them. SOLO is not responsible for unauthorised account access resulting from a link you have shared or from a compromised email account or device.

17A.4 Message delivery depends on third-party providers and networks. SOLO does not guarantee that any notification will be delivered, delivered on time, or received, and you remain responsible for checking your account and for meeting any deadline applicable to your transaction.

18. Fees and Charges

18.1 SOLO is currently offered free of charge during our early-access period. We reserve the right to introduce fees for certain features or services in the future, with reasonable prior notice to users.

18.2 SOLO does not charge any commission on property transactions. Commission, professional fees, and any other charges agreed between a user and their own CEA-licensed agent, solicitor, or other adviser are entirely a matter between those parties and are not affected by these Terms.

18.3 SOLO may from time to time operate referral or incentive programmes. Any such programme is governed by its own published terms, is offered at SOLO's discretion, and may be varied, suspended, or withdrawn at any time. SOLO may withhold or reverse any reward where it reasonably suspects abuse, self-referral, or the provision of false information.

19. Intellectual Property

19.1 All content, design, software, and technology on the Platform (excluding user-generated content) is owned by or licensed to SOLO and is protected by intellectual property laws.

19.2 The content licence for listing promotion is set out in Section 5.6. You retain ownership of all content you upload.

19.3 You represent and warrant that you own or have the necessary rights to all content you upload to the Platform, including photographs. You indemnify SOLO against any third-party intellectual property claims arising from content you upload.

19A. Copyright and Content Complaints

19A.1 SOLO hosts content uploaded or supplied by users. If you believe that any content on the Platform infringes your copyright or other rights, email legal@solo.sg with the listing URL, a description of the material concerned, an explanation of your rights in it, and your contact details.

19A.2 SOLO will review every complaint promptly and may remove or disable access to the content while the complaint is assessed. Removal is not an admission of liability. SOLO may notify the user who published the content and may pass on the substance of the complaint so they can respond.

19A.3 SOLO may suspend or terminate the account of any user who repeatedly publishes infringing content.

20. User Conduct

You agree not to:

(a) Provide false, inaccurate, or misleading information;

(b) Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;

(c) Attempt to circumvent the Platform's verification processes;

(d) Harass, threaten, intimidate, or stalk other users whether on or off the Platform;

(e) Scrape, harvest, or collect data from the Platform through automated means without prior written consent;

(f) Upload content that infringes the intellectual property rights of any third party;

(g) Use the Platform to distribute spam, malware, or other harmful content;

(h) Impersonate any person or entity;

(i) List properties that you do not own, are not authorised to sell, or for which you do not hold a valid estate agency agreement where required;

(j) Use the Platform to conduct unlicensed estate agency work;

(k) Misuse the nudge or reminder feature to harass, intimidate, or spam other users;

(l) Misuse personal data of other users received through the Platform for any purpose other than the relevant property transaction.

21. Limitation of Liability

21.1 To the fullest extent permitted by Singapore law, SOLO shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or relating to:

(a) Your use of or inability to use the Platform;

(b) Any property transaction entered into through connections made on the Platform;

(c) Any inaccurate, misleading, or false information provided by other users;

(d) Any dispute between buyers, sellers, or agents;

(e) Any loss or damage occurring during or in connection with a viewing;

(f) Any delay, failure, or interruption of the Platform's services or any third-party service;

(g) Any unauthorised access to your account;

(h) Any act or omission of any CEA-licensed agent using the Platform;

(i) Any fraud, misrepresentation, or off-platform activity by any user;

(j) Any reliance on AI-generated content, market data, calculator estimates, or informational materials on the Platform;

(k) Any failure or inaccuracy in co-owner consent, HFE status, EIP eligibility, or other verification or eligibility information displayed on the Platform.

21.2 SOLO's total aggregate liability to any user shall not exceed SGD 100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded under Singapore law.

21.3 The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Platform's availability, accuracy, reliability, or fitness for any particular purpose.

22. Indemnification

You agree to indemnify and hold harmless SOLO, its directors, officers, employees, and representatives from any claims, losses, damages, liabilities, and expenses including legal fees arising from:

(a) Your use of the Platform;

(b) Your breach of these Terms;

(c) Your property listing or transaction;

(d) Any claim by a third party arising from your use of the Platform;

(e) For CEA-licensed agents: any breach of your professional obligations under the Estate Agents Act 2010, its subsidiary legislation, or CEA codes of practice;

(f) Any content you upload to the Platform including any intellectual property infringement claims;

(g) Any inaccurate third-party contact details you provide to the Platform.

23. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at solo.sg/privacy.

24. Suspension and Termination

24.1 We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms or any applicable law, or if required to do so by a regulatory authority including the Council for Estate Agencies.

24.2 You may delete your account at any time through the Platform's Settings page. Deletion of your account will result in the removal of your active listings and personal data subject to any legal retention obligations and subject to the rights of other parties in any active transactions to access transaction records for the duration specified in our Privacy Policy.

24.3 Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8, 12, 19, 21, and 22.

25. Modifications

We may modify these Terms from time to time. We will notify registered users of material changes via email or through the Platform. Continued use of the Platform after such notification constitutes acceptance of the modified Terms.

26. Governing Law and Dispute Resolution

26.1 These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.

26.2 Any dispute arising out of or in connection with these Terms shall first be referred to mediation administered by the Singapore Mediation Centre. If the dispute is not resolved within 60 days, either party may commence proceedings in the courts of Singapore.

27. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

28. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and SOLO regarding your use of the Platform.
